Franchise agreements always favor the franchisor. It is very easy to be swept away in the heat of the moment and enter a binding contract that is not in your best long-term interests. It is also very difficult to get out of a franchise agreement without taking a big financial loss. You need to understand how to read the franchise agreement and disclosure documents. What fees are due? When they are due? What you can negotiate versus what is set in stone? How to read items 6 (fees) and 19 (earnings claims). What is your role? What is the franchisors role? How to read between the tricky lines without the need of expensive franchise lawyers.
Existing business owners are almost always open to negotiation however franchises “claim” to be a little different. Typically, negotiated changes to a franchise agreement are made through what is referred to as a franchise agreement “rider” or “addendum.” Because the franchise agreement is a form document included in the franchisor’s FDD, the majority of franchisors and their lawyers prefer to not make changes to the form.
